These Terms and Conditions form a legally binding agreement between You and the Artist or their disclosed Agent (collectively referred to as the “Artist”) who supplies the Artwork You have chosen from www.artintobusiness.com (“the Website”) operated by Artintobusiness Limited (“We”, “Us”).

1    Disclosed Agency

1.1    We act as a disclosed agent of the Artist and our role is to arrange and manage a contract between You and the Artist on these Terms and Conditions.

1.2    You acknowledge that during our agency and for a period of 12 months after its termination You agree not to rent or buy an Artwork directly from the Artist.

TERMS APPLICABLE TO RENTAL OF ARTWORK

2    Rental

2.1    By submitting an Application on our Website for rental of an Artwork You agree to take that Artwork on hire for the period and subject to the charges specified.

3    Payment

3.1    Before the hiring commences You will pay an Administration Fee and a Delivery Fee together with the first monthly rental in advance and the last monthly rental paid at the same time as a deposit against payment for the last month of hire.

3.2    You will pay further monthly rental payments in advance as they fall due throughout the period of hire.

3.3    Time is of the essence for payments.

3.4    Payments must be made by such method as We direct and are subject to VAT.

4    Warranties

4.1    The Artist warrants that the Artwork is original or if a certified print or copy that such certification is accurate and genuine, is unencumbered, and that he or she has the right to transfer possession to You during the period of hire.

4.2    Save as aforesaid any other warranty or condition as to the Artwork or its suitability, condition, state, value or otherwise is expressly excluded to the maximum extent permissible by law.

5    Delivery

5.1    The Artwork will be unpacked by the courier who delivers it and You will be asked to confirm it is in good condition.

5.2    The period of hire shall commence when You confirm the Artwork is in good condition.

6    Risk in the Artwork

6.1    You are responsible for risk in the Artwork including as to theft, damage, loss and seizure by third parties from delivery until its return by You to the Artist in accordance with clause 9 below.

6.2    You are required as a condition of rental to insure the Artwork for its full sale price (which You can find on the Website) or to have a general insurance policy that covers the risk referred to in 6.1. You will be asked to produce evidence of this valid insurance before delivery of the Artwork is completed.

7    Installation and Care

7.1    You are responsible for installing the Artwork at the address specified in your application.

7.2    You must take reasonable care of the Artwork, comply with any specific care instructions and ensure that it is not damaged, subject to normal wear and tear.

7.3    You must not part with possession, sub-let or otherwise dispose of the Artwork or remove it from the address specified in your application.

8    Exchange

8.1    We may in our discretion but shall not be obliged to consider requests to exchange one or more Artworks during a period of hire.

8.2    Any such exchange shall be on such terms as We may determine.

9    Return of the Artwork

9.1    At the end of the hire period or on termination of this Agreement if earlier You must return the Artwork to the Artist in the same condition as it was supplied to You in accordance with the instructions provided to You.

9.2    The Artist will inspect the Artwork for any damage on its return, and You accept full responsibility for the cost of any damage including if appropriate the full sale price of the Artwork.

10    Termination Rights

10.1    In the event of:-

(a)    your failing to make any payment due under this Agreement;

(b)    your otherwise breaking this Agreement; or

(c)    your insolvency (including an Application for Administration or a Winding-Up Petition);

You will be deemed to have repudiated this Agreement and We shall have the right to terminate the Agreement and claim immediate payment of all outstanding rentals and all rentals which would have become due up to the date the hire period was due to end discounted at 3% per annum to reflect early receipt.

10.2    We shall also be entitled to enter any premises where the Artwork may be located and recover it ourselves in the event of termination.

TERMS APPLICABLE TO SALE OF ARTWORK

11    Discount on Sale Price of Rented Artwork

11.1    If You wish to purchase Artwork which You have previously rented You will be entitled to a discount on the sale price of 2% per month of rental up to a maximum of 25%.

12    Payment

12.1    When You submit a Purchase Application on our Website You agree to purchase the relevant Artwork by paying Us the price on behalf of the Artist.

13    Ownership and Risk

13.1    Ownership and risk in the Artwork including as to theft, damage, loss and seizure by third parties passes to You on receipt by Us of your payment. 

13.2    Copyright remains in the Artist.

14    Warranties

14.1    The Artist warrants that the Artwork is original, or if a certified print or copy that such certification is accurate and genuine, is unencumbered, and that he or she has the right to transfer ownership to You.

14.2    Save as aforesaid any other warranty or condition as to the Artwork or its suitability, condition, state, value or otherwise is expressly excluded to the maximum extent permissible by law.

15    Delivery

15.1    If the Artwork is not already in your possession delivery to You will be arranged by Us or by the Artist.

TERMS APPLICABLE GENERALLY

16    Changes to These Terms and Conditions

16.1    We may change these Terms and Conditions on 28 days written notice to You.

17    Data Protection

17.1    By submitting an Application on our Website You indicate the consent of each individual, Director or Partner in your organisation to Our searching and sharing credit information about them.

18    Notices

18.1    We may give notice to You at the e-mail address You supplied through our Website or such other e-mail address as You may supply.

18.2    Any notice from You must be to Artintobusiness Ltd at 14 Kevan Drive, Send, Woking GU23 7BU

19    Law and Jurisdiction

19.1    These Terms and Conditions are governed by English law and You submit to the jurisdiction of the English Courts.
